Terms and conditions.

These terms and conditions apply to all offers, quotes and agreements between WAMELINK (hereinafter "WAMELINK"), established in Amsterdam, and the client (hereinafter "Client").

By entering into an agreement with WAMELINK, the Client declares that it has read these terms and conditions and agrees to them.

Deviations from these terms and conditions are only valid if agreed in writing by both parties.

WAMELINK provides services in the areas of web design, web development, branding, integrations and digital strategy. The specific scope of the services is set out in a quote or project agreement.

WAMELINK will perform the services to the best of its knowledge and ability, in accordance with the requirements of good workmanship. This is an obligation to use best efforts, not an obligation to achieve a specific result.

The Client is responsible for supplying, in good time, all materials, information and feedback required to carry out the project. Delays in supplying these may lead to an adjustment of the schedule.

All quotes are without obligation and valid for 30 days, unless stated otherwise. Prices stated exclude VAT (21%), unless expressly stated otherwise.

Additional work outside the original quote is discussed in advance and quoted separately. WAMELINK will not carry out additional work without the Client's written approval.

Payment is made according to the payment structure stated in the quote. By default, WAMELINK uses the following structure: 50% when the assignment is awarded, 50% on delivery.

Invoices must be paid within 14 days of the invoice date, unless agreed otherwise. In the event of late payment, the Client is in default by operation of law and WAMELINK is entitled to charge the statutory commercial interest.

In the event of payment arrears, WAMELINK reserves the right to suspend work until the outstanding invoices have been paid.

All intellectual property rights to the materials developed by WAMELINK, including designs, code, texts and visuals, remain with WAMELINK, unless agreed otherwise in writing.

After full payment, the Client obtains an exclusive right to use the end product for the agreed purpose. WAMELINK retains the right to use the work for portfolio and promotional purposes.

The Client guarantees that materials it supplies (logos, texts, images) do not infringe the rights of third parties. The Client indemnifies WAMELINK against any claims by third parties.

WAMELINK's liability is limited to the amount paid for the assignment in question. WAMELINK is not liable for indirect damage, consequential damage or lost profits.

WAMELINK is not liable for damage resulting from incorrect or incomplete information provided by the Client, nor for damage caused by the use of third-party services or products (hosting, plugins, external APIs).

After delivery and approval of the project, responsibility for managing and securing the website lies with the Client, unless a separate maintenance contract has been concluded.

Either party may terminate the agreement in writing with a notice period of 14 days. If the Client terminates early, the costs incurred and hours worked up to that point are payable.

WAMELINK reserves the right to dissolve the agreement with immediate effect if the Client fails to meet its obligations, in particular if payment is not made after a reminder.

Both parties are obliged to keep confidential all confidential information they receive from each other in connection with the agreement. This obligation also applies after the agreement has ended.

All agreements between WAMELINK and the Client are governed by Dutch law. Disputes arising from or related to the agreement will be submitted to the competent court in Amsterdam.

The parties will only go to court after they have made every effort to resolve the dispute through mutual consultation.
